Linx Dispatch Service

These Terms and Conditions ("Terms") govern your access to and use of the website located at www.LinxDispatch.com, including all associated landing pages, application forms, booking pages, and communications operated by Linx Dispatch Service ("Linx," "we," "us," or "our").

By accessing our website, submitting a Dispatch Fit Review application, booking a consultation, or entering into a dispatch services agreement, you ("Client," "you," or "user") agree to be bound by these Terms. If you do not agree, do not use our website or services.

1. Description of Services

Linx Dispatch Service provides third-party freight dispatch support for owner-operators, independent carriers, and small fleet owners operating in the United States. Services may include:

  • Load search and freight sourcing based on carrier equipment type, preferred lanes, and schedule

  • Broker communication and relationship management on behalf of the carrier

  • Rate negotiation support

  • Dispatch coordination including check calls, route detail management, and load confirmations

  • Rate confirmation and carrier packet organization

  • Paperwork support and document organization

The specific services provided to each client are governed by a separate Dispatch Services Agreement executed between Linx Dispatch Service and the client at the time of onboarding. These Terms apply to all interactions with Linx, including pre-service inquiries and the application process.

2. Dispatch Fit Review Application

The Dispatch Fit Review application and consultation are provided at no cost and create no obligation on either party. Submission of an application does not constitute acceptance into Linx Dispatch Service or guarantee that dispatch services will be offered.

Linx reserves the right to decline any application at its sole discretion. If your application is not a fit for our services, we will communicate that to you directly and may provide a referral to alternative resources.

Information submitted through the application form will be used in accordance with our Privacy Policy.

3. No Guarantee of Results

LINX DISPATCH SERVICE DOES NOT GUARANTEE ANY SPECIFIC FREIGHT RATES, LOAD VOLUMES, REVENUE OUTCOMES, OR BUSINESS RESULTS.

Dispatch results are dependent on multiple factors outside our control, including but not limited to:

  • Current freight market conditions and spot rates

  • Carrier equipment type, location, and availability

  • Broker availability and relationships

  • Carrier authority status and compliance history

  • Seasonal freight patterns and lane demand

  • Carrier responsiveness and availability to accept loads

Any revenue figures, rate examples, or outcome descriptions used in our marketing materials, landing pages, or conversations represent illustrative examples and are not guarantees of what any individual carrier will achieve. Past performance of other carriers does not guarantee your results.

4. Client Responsibilities

As a client of Linx Dispatch Service, you are responsible for:

  • Maintaining valid operating authority issued by the FMCSA throughout the term of any service agreement

  • Maintaining all required insurance coverages at the levels required by law and by any broker or shipper relationships

  • Compliance with all applicable federal, state, and local transportation regulations including Hours of Service (HOS) rules, ELD requirements, and weight/size restrictions

  • Providing accurate and complete information to Linx regarding your equipment, availability, licensing, and operational status

  • Promptly communicating any changes to your authority status, insurance, or operational capacity

  • Accepting or declining load offers in a timely manner as defined in your Dispatch Services Agreement

  • Maintaining professional conduct in all interactions with brokers, shippers, and Linx staff

Linx Dispatch Service acts as your agent in freight procurement and broker communication. You remain solely responsible for all regulatory compliance, safety decisions, and business operations. Linx does not employ your drivers, own your equipment, or hold your operating authority.

5. Dispatch Services Agreement and Fees

Specific terms governing dispatch services, including service fees, payment schedules, commission structures, cancellation terms, and onboarding requirements, are set forth in a separate Dispatch Services Agreement provided to approved clients prior to onboarding.

By entering into a Dispatch Services Agreement with Linx, you agree to:

  • Pay all applicable dispatch service fees as specified in your agreement

  • Comply with the cancellation and termination provisions of your agreement

  • Maintain the minimum operational requirements specified in your agreement

These Terms incorporate any executed Dispatch Services Agreement by reference. In the event of a conflict between these Terms and a signed Dispatch Services Agreement, the Dispatch Services Agreement controls.

6. SMS and Email Communications

By submitting an application or entering into a service agreement, you consent to receive communications from Linx Dispatch Service as described in our Privacy Policy and as authorized by your consent selections on our application form.

Transactional communications — including application status updates, consultation scheduling, and dispatch coordination messages — are a required component of our service and cannot be fully opted out of while a service agreement is active.

Marketing communications are optional and may be opted out of at any time by replying STOP to any SMS or using the unsubscribe link in any email.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINX DISPATCH SERVICE, ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of revenue, profits, or business opportunity

  • Loss of freight, cargo damage, or load-related losses

  • Regulatory fines, penalties, or enforcement actions resulting from carrier non-compliance

  • Damages arising from broker disputes, rate discrepancies, or freight claim denials

  • Any damages arising from your reliance on load options, rate estimates, or market information provided by Linx

IN NO EVENT SHALL LINX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS OR ANY SERVICE AGREEMENT EXCEED THE TOTAL FEES PAID BY YOU TO LINX IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Linx Dispatch Service and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms or any Dispatch Services Agreement

  • Your violation of any applicable law, regulation, or carrier requirement

  • Your operation of commercial motor vehicles, including accidents, cargo claims, or regulatory violations

  • Any misrepresentation you make to Linx, brokers, or shippers

  • Your failure to maintain required authority, insurance, or compliance certifications

9. Intellectual Property

All content on our website and landing pages — including text, copy, graphics, logos, and funnel assets — is the property of Linx Dispatch Service or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or use any of our content for commercial purposes without prior written consent from Linx Dispatch Service.

Referral toolkit materials provided to enrolled referral program participants are licensed for personal, non-commercial sharing only and may not be modified or resold.

10. Referral Program

Linx Dispatch Service operates an optional referral program for applicants and active clients. Participation in the referral program is subject to the following conditions:

  • Referral rewards are earned when a referred carrier submits a qualified Dispatch Fit Review application through your unique referral link

  • Linx determines, in its sole discretion, whether a referred application qualifies for referral credit

  • Referral rewards are provided as dispatch service credits or service access and have no cash value unless explicitly stated in writing

  • Linx reserves the right to modify, suspend, or terminate the referral program at any time with reasonable notice

  • Referral rewards cannot be transferred, sold, or exchanged

  • Any attempt to abuse the referral program through fraudulent applications, self-referrals, or artificial manipulation will result in disqualification and termination of service

11. Dispute Resolution and Governing Law

These Terms and any disputes arising from them shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.

11.1 Informal Resolution

Before initiating any formal dispute process, you agree to contact Linx at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the matter within 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in North Carolina. The arbitrator's decision shall be final and binding.

11.3 Class Action Waiver

You agree to resolve any disputes with Linx on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Linx Dispatch Service.

11.4 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitration for other claims.

12. Termination

Linx Dispatch Service reserves the right to terminate or suspend your access to our services and communications at any time for:

  • Violation of these Terms or a Dispatch Services Agreement

  • Fraudulent, abusive, or harassing conduct

  • Failure to maintain required operating authority or insurance

  • Non-payment of service fees

  • Any conduct that Linx reasonably determines to be harmful to its operations, reputation, or other clients

You may terminate a Dispatch Services Agreement in accordance with the cancellation terms specified in that agreement. Termination does not relieve you of any outstanding payment obligations.

13. Disclaimer of Warranties

OUR WEBSITE, APPLICATION PROCESS, AND PRE-SERVICE COMMUNICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any information provided on our website or in our marketing materials.

14. Third-Party Platforms

Our website and operations utilize GoHighLevel (GHL) as a CRM and funnel platform. We are not responsible for the availability, functionality, or security of GoHighLevel's infrastructure. Your use of our application forms and booking pages is also subject to GoHighLevel's terms of service.

Links to third-party websites or services on our pages are provided for convenience only. We are not responsible for the content, privacy practices, or terms of any third-party websites.

15. Modifications to These Terms

We reserve the right to update these Terms at any time. When we do, we will revise the Effective Date at the top of this page. Your continued use of our website or services after any modification constitutes acceptance of the updated Terms.

For active clients under a Dispatch Services Agreement, material changes to these Terms will be communicated with at least 14 days advance notice via email.

16. Entire Agreement

These Terms, together with our Privacy Policy and any executed Dispatch Services Agreement, constitute the entire agreement between you and Linx Dispatch Service with respect to your use of our services. They supersede all prior discussions, representations, and agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
